Weave Communications Announces Employment Inducement Awards in Accordance with NYSE Rule 303A.08

LEHI, Utah—June 6, 2025 – As required by the rules of the New York Stock Exchange, Weave Communications, Inc. (NYSE: WEAV), a leading all-in-one customer experience and payments software platform for small and medium-sized healthcare businesses, today announced that on June 2, 2025, the Compensation Committee of Weave’s Board of Directors granted restricted stock units relating to an aggregate of 512,250 shares of Weave’s common stock to 31 newly hired employees as an inducement for them to join Weave. The employees were hired in connection with Weave’s previously announced acquisition of Vidurama, Inc. (d/b/a TrueLark). These awards vest over three years, with 33% vesting on June 15, 2026 and the remaining 67% vesting over the following two years in equal quarterly installments, subject to continued service through each vesting date.

The employment inducement awards were granted under Weave’s 2022 Inducement Equity Incentive Plan and related form of restricted stock unit agreement in reliance on the employment inducement exception to stockholder approval provided under Section 303A.08 of the NYSE Listed Company Manual. To comply with the terms of this exemption, the employment inducement award requires prompt public announcement of the award and written notice to the NYSE.
